Due Diligence for
Transactions
Attorneys in our Environmental Department
have extensive experience addressing all
aspects of environmental issues that arise
in connection with transactions. Working
closely with our clients, attorneys from
our Corporate and Real Estate Departments,
along with environmental consultants and
engineers, coordinate the performance
of environmental due diligence reviews
and environmental site assessments, drafts
and negotiates environmental provisions
of transaction documents, and advises
clients on compliance with disclosure
and other regulatory requirements applicable
to transactions. We work with clients
on identifying, managing, and allocating
environmental risks, including environmental
representations and warranties, indemnity
agreements, and covenants, environmental
property transfer and cleanup cost overrun
insurance, and the procurement of covenants
not to sue, prospective purchaser agreements
or other governmental protections available
through state federal brownfields programs.
We also have substantial experience in
helping clients comply with the requirements
of state environmental property transfer
laws and in advising lenders concerning
the risks involved in making loans to
borrowers who own or operate contaminated
property.
